Payment schedules are typically structured around project milestones, with options for upfront payments or retainers as agreed in the contract. All invoices are due within 30 days of issuance. Late payments may incur a 5% monthly fee. Failure to meet payment obligations may result in project suspension or termination, ensuring both parties maintain a professional and timely financial relationship.
Intellectual Property

Ownership of intellectual property is clearly defined to protect both McKeeImagery and our clients. McKeeImagery retains ownership of all code, templates, and design elements developed during the project, unless otherwise specified in writing. Clients maintain ownership of all content and materials they provide. Additionally, clients grant McKeeImagery the right to showcase the completed website in our portfolio and promotional materials, highlighting our collaborative success and expertise in web design and development.
Confidentiality Obligations
McKeeImagery is committed to maintaining the confidentiality of all client information. We ensure that any data shared with us is kept secure and is not disclosed to third parties without the client’s explicit written consent, except where required by law. Our team understands the importance of privacy and handles all information with the utmost care and discretion.
Similarly, clients are expected to treat any proprietary information shared by McKeeImagery with the same level of confidentiality. This mutual respect for privacy fosters a trusting and professional relationship, ensuring that both parties can collaborate effectively without concerns over data security.
Termination Conditions
Agreement Termination
Either McKeeImagery or the client may terminate the agreement by providing written notice at least 30 days in advance. This notice period allows for the orderly winding down of services and ensures that all parties have sufficient time to address any outstanding obligations or concerns.
In the event of termination, McKeeImagery will be entitled to compensation for all work completed up to the termination date. Clients will be responsible for any costs incurred during this period. This structured approach to termination ensures that both parties can conclude their business relationship amicably and professionally.
Termination may also be initiated if there is a breach of contract by either party. In such cases, the aggrieved party must provide written notice detailing the breach and allow a reasonable period for remedy. If the breach is not resolved within the specified timeframe, the agreement may be terminated immediately.

McKeeImagery is not liable for any indirect, incidental, or consequential damages arising from the use or performance of the website. This includes, but is not limited to, lost profits, data loss, or business interruption. Our liability is limited to the amount paid by the client for the services provided under the agreement.

Governing Law
These Terms of Service are governed by the laws of the State of Louisiana. All parties agree to submit to the jurisdiction of the courts located in Louisiana for any disputes arising under these Terms.
Complete Agreement
These Terms of Service represent the entire agreement between McKeeImagery and the Client. They supersede any prior agreements, understandings, or communications, whether written or oral, regarding the subject matter herein.
By engaging our services, the Client acknowledges that they have read, understood, and agreed to all the terms and conditions outlined in this document. No other agreements or representations, unless in writing and signed by both parties, will be considered valid.
